1. Scope and acceptance

These Terms of Service ("Terms") govern your use of vsonadvisory.com (the "Site"). The Site is owned and operated by VSON PTE. LTD., a management consultancy firm registered in Singapore (UEN 202616144R), which trades as Vson Advisory. By accessing or using the Site, you agree to be bound by these Terms. You represent that you are of legal age to form a binding agreement and, where you access the Site on behalf of an organisation, that you have authority to bind that organisation to these Terms. If you do not agree, please do not use the Site.

2. Nature of content

Vson Advisory provides management consultancy services — including strategy, operations, and business transformation advisory — to organisations under separately-negotiated engagement agreements.

Content on this Site is provided for general informational purposes only. It does not constitute, and should not be relied upon as, financial advisory, investment advice, corporate finance services, legal advice, tax advice, or accounting advice, and nothing on this Site constitutes advice regulated under the Singapore Financial Advisers Act 2001, the Securities and Futures Act 2001, or any comparable regime. We do not deal in, or facilitate the sale of, securities or other regulated financial products.

A professional-services relationship with Vson Advisory is established only by a separate, signed engagement letter. Use of this Site, contact-form submissions, email exchanges, and informal conversations do not, individually or together, create such a relationship.

3. Intellectual property

All content on the Site — including text, design, graphics, logos, and trademarks — is owned by VSON PTE. LTD. or licensed to us, and is protected by Singapore and international intellectual property laws. "Vson Advisory" and related marks are trademarks of VSON PTE. LTD.

You may reference short excerpts with attribution and a link to the original page. You may not reproduce, republish, redistribute, or create derivative works from substantial portions of the Site without our prior written permission. All rights not expressly granted are reserved.

Information you voluntarily submit through the Site (such as contact-form content) is handled in accordance with our Privacy Policy. We do not claim ownership of your content beyond the limited use necessary to respond to your inquiry and to maintain our business records.

4. Prohibited uses

You agree not to:

• Access the Site through automated means (including scrapers, crawlers, or bots), other than search engine crawlers that respect our robots.txt file;
• Introduce viruses, malware, or other harmful code, or attempt to interfere with the normal operation of the Site;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity, including when using the contact form;
• Collect, harvest, or mine personal data or contact information from the Site for unsolicited marketing or other unauthorised use;
• Attempt to gain unauthorised access to any non-public portion of the Site or any related system or infrastructure;
• Use the Site for any unlawful purpose or in any manner prohibited by applicable law.

We may restrict or terminate your access to the Site at our discretion if we reasonably believe you have breached these Terms.

5. Third-party links

The Site may contain links to third-party websites or resources. We do not control these destinations, and we are not responsible for their content, privacy practices, or availability. A link does not constitute endorsement, affiliation, or partnership unless expressly stated. Your use of any linked website is at your own risk and subject to that website's own terms and policies.

6. No warranties

The Site is provided "as is" and "as available," without warranties of any kind, either express or implied. We make no representations regarding the completeness, accuracy, timeliness, or suitability of any content on the Site for any particular purpose, and we do not warrant that the Site will be uninterrupted, secure, or free from errors or harmful components.

To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Your use of the Site is at your own risk.

7. Limitation of liability

To the extent permitted by applicable law, in no event shall VSON PTE. LTD. be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, loss of data, loss of goodwill, or business interruption, arising from or relating to these Terms, the Site, or your use of the Site, whether in contract, tort, or otherwise, and even if we have been advised of the possibility of such damages.

Our aggregate liability arising from or relating to these Terms or the Site shall not exceed the greater of S$100 or the fees you have paid to us (if any) in the twelve months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

8. Changes to these Terms

We may update these Terms from time to time. The date at the top of this page reflects the most recent revision. Material changes will be posted here and take effect upon publication. Your continued use of the Site after the effective date of a revision constitutes acceptance of the revised Terms. If you do not agree to a revised version, you should stop using the Site.

9. General

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, it shall be severed from the remaining provisions, which shall continue in full force and effect.

No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision, or prejudice our right to enforce it subsequently.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and VSON PTE. LTD. regarding your use of the Site, and supersede any prior communications.

10. Governing law

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws principles. You agree that any dispute arising from or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of Singapore.

The English-language version of these Terms shall prevail in the event of any inconsistency with a translated version.
